Welcome to BuddieBin, a Personal Cloud Storage Service provided by Imprizza, LLC ("Company", "we", "us", or "our"), a company incorporated under the laws of the State of New Mexico. These Terms of Service ("Terms") govern your access to and use of our Service. By accessing or using BuddieBin, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you are not authorized to use our Service.
Eligibility
You must be at least 18 years of age to use our Service. If you are under 18, you must have the permission of a parent or guardian.
Account Registration
You must register for an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account.
Use of the Service
The Service is provided for your personal, non-commercial use. You agree not to misuse the Service or assist anyone else in doing so. You must comply with all applicable laws and regulations.
Content Ownership and Responsibility
You retain ownership of the content you upload to the Service. By uploading content, you grant us a license to use, store, and distribute that content. You are solely responsible for the content you upload and the consequences of sharing or publishing it.
Copyright
At BuddieBin, we respect the intellectual property rights of others and expect our users to do the same. We respond to notices of alleged copyright infringement that comply with applicable law. If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement, please notify us through our designated Copyright/DMCA channel. Billing
At BuddieBin, we exclusively offer paid account options to ensure premium quality and service for our users. Upon registering for a BuddieBin account, you select from our tiered paid account options, each offering a range of storage capacities and features tailored to meet different needs. From the date of initiating your paid account, and upon each periodic renewal (monthly or annually, based on your selection), we will automatically bill you.
Should you choose to enhance your BuddieBin experience by upgrading to a higher-tier paid account, the billing cycle will adjust accordingly from the date of upgrade. Annual subscribers will receive a notice email reasonably ahead of their plan's renewal date. Applicable taxes will be added to your billing where required by law.
It's important to note that some regions may impose mandatory laws regarding your rights to cancel subscriptions, and our policies do not override such legal rights.
Upgrades
You are free to upgrade your account at any time to access additional storage and features. Upon upgrading, your billing will be adjusted to reflect your new tier of service immediately.
Cancellation and Refunds
You may cancel your BuddieBin subscription at any time; however, please be aware that refunds are only issued where required by law. For example, individuals within the European Union are entitled to a full refund within 14 days of signing up for, upgrading, or renewing a paid account, in accordance with local consumer protection laws.
Account Changes and Fees
We reserve the right to modify subscription fees or introduce new charges for any of our paid account tiers. Any such changes will be communicated to you with no less than 30 days' advance notice, sent to the email address associated with your account. This notice period offers you ample opportunity to assess the changes and, if necessary, cancel your subscription before the new fees are applied.
Discontinuation of Services
BuddieBin may discontinue the Services due to unforeseen circumstances, events beyond our control, or to comply with legal requirements. If we do, we will provide reasonable prior notice for you to export your data, aiming for no less than 30 days' notice where possible. If the Service is discontinued before the end of any prepaid term, we will refund the unused portion of your fees.
Services Provided "As Is"
We strive to provide high-quality Services, but there are certain things we cannot guarantee. The Services are provided "AS IS" without any warranties, express or implied. We also disclaim any warranties of merchantability, fitness for a particular purpose, and non-infringement. Some jurisdictions do not allow disclaimers like this, so they may not apply to you.
Limitation of Liability
To the extent permitted by law, BuddieBin, its affiliates, suppliers, or distributors will not be liable for any indirect, special, incidental, punitive, exemplary, or consequential damages, or any loss of use, data, business, or profits, regardless of legal theory. These exclusions or limitations apply whether or not BuddieBin has been warned of the possibility of such damages. If you use the Services for commercial, business, or resale purposes, BuddieBin will have no liability for any loss of profit, business interruption, or loss of business opportunity. BuddieBin's total liability to you for all claims related to the Services is limited to the amount you paid us to use the Services.
Resolving Disputes
Efforts to Resolve Disputes Informally. Before initiating a formal legal claim against BuddieBin, you agree to attempt to resolve the dispute informally by sending a detailed written notice of the dispute to us. We will try to resolve the dispute informally by contacting you via email. If the dispute is not resolved within 60 days of submission, either party may begin formal proceedings.
Judicial Forum for Disputes. Any legal proceedings to resolve claims relating to these Terms or the Services will be conducted in the appropriate courts of the State of New Mexico, unless otherwise required by applicable laws of your residence. Both you and BuddieBin consent to venue and personal jurisdiction in such courts.
Mandatory Arbitration for U.S. Residents. You and BuddieBin agree to resolve any disputes through final and binding arbitration, except as specified under exceptions to the arbitration agreement. Arbitration will be conducted by a single arbitrator and will follow the rules set by the American Arbitration Association. Specific procedures and rules regarding fees, locations, and the arbitration process will be detailed, adhering to the principles set out in the original sample.
Governing Law
These Terms are governed by the laws of the State of New Mexico, except for its conflict of laws principles. This provision does not override consumer protection laws that apply in your jurisdiction.
Entire Agreement
These Terms constitute the entire agreement between you and BuddieBin regarding the Services, superseding any prior or contemporaneous agreements or terms.
Waiver, Severability, & Assignment
Failure by BuddieBin to enforce any provision of these Terms is not a waiver of its right to do so later. If any provision is found unenforceable, the remaining provisions will remain in effect, and an enforceable term will be substituted reflecting our intent as closely as possible.
Modifications
We may revise these Terms to reflect changes in the law, new regulatory requirements, or improvements to our Services. We will provide notice of such changes as required by law.
